By accessing or using the hebra AI platform at hebra.ai ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

hebra AI provides an AI-powered intelligence platform for fashion brands and retailers, offering:
- Woven Intelligence: Predictive, prescriptive, and generative AI capabilities
- Data Integration: Connections to ERPs, CRMs, e-commerce platforms, and marketing systems
- Analytics & Forecasting: Sales forecasting, inventory optimization, and market intelligence
- Sustainability Tracking: Supply chain visibility and compliance monitoring
- hebra Atelier (AI Fashion Copilot): Generative insights, reports, and strategic recommendations
3. User Accounts and Registration
3.1 Account Creation
- Accurate information required for registration
- You are responsible for maintaining account security
- One account per user; no sharing of credentials
- Must be 18+ years old and authorized to bind your organization
3.2 Account Responsibilities
- Protect login credentials and notify us of unauthorized access
- Comply with all applicable laws and regulations
- Use Service only for legitimate business purposes
- Maintain current contact and billing information
4. Acceptable Use Policy
4.1 Permitted Uses
- Business intelligence and analytics for fashion/retail operations
- Integration with your legitimate business systems and data
- Collaboration with authorized team members
- Export of your own data and generated insights
4.2 Prohibited Uses
- Reverse engineering, decompiling, or attempting to access source code
- Interfering with Service security or functionality
- Using automated tools to access the Service without permission
- Sharing access credentials or reselling Service access
- Uploading malicious code, viruses, or harmful content
- Violating intellectual property rights of others
- Using the Service for illegal activities or regulatory violations
4.3 Data Usage Restrictions
- May not upload data you don't own or lack permission to use
- Must comply with all privacy laws regarding customer/employee data
- Cannot use Service to process sensitive personal data without proper safeguards
- Prohibited from competitive analysis of hebra AI's technology
5. Subscription and Billing
5.1 Subscription Plans
- Service offered via subscription tiers with different features and usage limits
- Pricing displayed on our website or provided in your custom agreement
- Beta participants may receive promotional pricing or free access periods
5.2 Payment Terms
- Fees charged in advance for subscription periods (monthly/annually)
- Payment due within 30 days of invoice date
- Late payments subject to 1.5% monthly interest charge
- Service may be suspended for non-payment after 15-day notice
5.3 Refunds and Cancellations
- No refunds for partial subscription periods except as required by law
- Cancellation takes effect at end of current billing period
- Data export available for 30 days post-cancellation
- Setup fees and custom development charges are non-refundable
6. Data Ownership and Usage
6.1 Your Data
- You retain ownership of all data you upload to the Service
- Grant us license to process your data to provide the Service
- We may create aggregated, anonymized insights from collective user data
- You are responsible for data accuracy and legal compliance
6.2 Generated Insights
- AI-generated insights, forecasts, and recommendations remain your property
- May be based on your data combined with market intelligence and platform analytics
- hebra AI retains rights to underlying algorithms and platform technology
6.3 Platform Improvements
- We may use aggregated, anonymized usage data to improve the Service
- No individual customer data used without explicit consent
- Platform enhancements benefit all users collectively
7. Intellectual Property Rights

- Platform software, algorithms, and technology remain our property
- Trademarks, logos, and brand elements are protected intellectual property
- Users receive limited license to access Service, not ownership rights
7.2 User Content
- You warrant that uploaded content doesn't violate third-party rights
- Grant us necessary rights to process and display your content within the Service
- Responsible for obtaining any required licenses for data sources
8. Privacy and Security

9. Service Availability and Support

- Target 99.9% uptime, excluding scheduled maintenance
- Maintenance windows announced with reasonable advance notice
- Performance may vary based on data volume and complexity
9.2 Customer Support
- Support provided via email, chat, and knowledge base
- Response times vary by subscription tier and issue severity
- Dedicated support for enterprise customers
- Beta users receive best-effort support during program period
10. Limitations and Disclaimers
10.1 Service Limitations
- AI insights and forecasts are based on historical data and market patterns
- No guarantee of accuracy for predictions or recommendations
- Service dependent on quality and completeness of input data
- Performance may be affected by external factors beyond our control
10.2 Disclaimer of Warranties
- Service provided "as is" without warranties of any kind
- No guarantee of uninterrupted or error-free operation
- Disclaim all warranties, express or implied, including merchantability and fitness for purpose
10.3 Business Decision Responsibility
- AI insights are tools to inform decisions, not replace human judgment
- You remain solely responsible for business decisions and their outcomes
- Recommendations should be evaluated in context of your specific situation
11. Liability and Indemnification
11.1 Limitation of Liability
- Our liability limited to fees paid in the 12 months preceding the claim
- Not liable for indirect, consequential, or punitive damages
- Limitations apply regardless of cause of action or theory of liability
11.2 User Indemnification
You agree to indemnify us against claims arising from:
- Your use of the Service in violation of these Terms
- Your data or content uploaded to the platform
- Violation of third-party rights or applicable laws
12. Beta Program Terms
12.1 Beta Participation
- Beta features provided for testing and feedback purposes
- May contain bugs, errors, or incomplete functionality
- No service level agreements apply to beta features
- Features may be modified or discontinued without notice
12.2 Feedback and Improvements
- Feedback provided during beta becomes our property

13. Termination
13.1 Termination Rights
- Either party may terminate with 30 days' written notice
- Immediate termination allowed for material breach of Terms
- We may suspend access for security threats or violation of Acceptable Use Policy
13.2 Effect of Termination
- Access to Service ends immediately upon termination
- Data export available for 30 days, then permanently deleted
- Surviving provisions: liability limitations, intellectual property rights, payment obligations
14. Changes to Terms
- We may modify these Terms with 30 days' notice
- Material changes require explicit acceptance
- Continued use constitutes acceptance of minor modifications
- Enterprise customers may have different amendment procedures per contract
15. Governing Law and Disputes
15.1 Governing Law
These Terms are governed by the laws of California, without regard to conflict of law principles.
15.2 Dispute Resolution
- Initial disputes resolved through good faith negotiation
- Binding arbitration for unresolved disputes exceeding $25,000
- Small claims court available for smaller disputes
- Class action waiver applies to all disputes
16. General Provisions
16.1 Entire Agreement
These Terms, along with our Privacy Policy and any executed Service Agreement, constitute the entire agreement between parties.
16.2 Severability
If any provision is deemed invalid, the remaining provisions continue in full force and effect.
16.3 Force Majeure
Neither party liable for delays caused by circumstances beyond reasonable control, including natural disasters, government actions, or technical failures.
16.4 Assignment
You may not assign these Terms without our written consent. We may assign to affiliates or in connection with business transfers.
